Tate & Lyle has a sponsored Level 1 American Depositary Receipt (ADR) programme, for which Citi acts as Depositary. Our ADRs trade in the US over-the-counter (OTC) market on the 'OTCQX' platform under the symbol TATYY. Each ADR represents four Tate & Lyle PLC Ordinary Shares.

An ADR is a negotiable US certificate representing ownership of shares in a non-US corporation. ADRs are quoted and traded in US dollars in the US securities market. Dividends are also paid in US dollars. ADRs were specifically designed to facilitate the purchase, holding and sale of non-US securities by US investors and to provide a corporate finance vehicle for non-US companies.

US investors often prefer to purchase ADRs rather than ordinary shares in the issuer’s home market because ADRs trade, clear and settle according to US market conventions. One of the main advantages is the facilitation of diversification into foreign securities. ADRs allow easy comparison to securities of similar companies, as well as access to price and trading information. ADR holders also appreciate dollar dividend payments and receiving corporate action notifications.  

A registered holder is one whose name appears on the books of the Depositary, as registrar; the registered holder is considered the owner of record. A beneficial holder is one whose holdings are held in another name, such as a broker, bank or nominee.

Tate & Lyle ADRs are classified as OTC (over-the-counter) securities and are traded on the OTCQX exchange. OTCQX is the premium tier of the U.S. OTC Markets Group which gives non-U.S. companies a visible U.S. cross-listing without the duplicative regulatory costs required of listing on a traditional U.S. exchange.

OTCQX companies use the quality controlled OTCQX listing platform to offer investors transparent trading, superior information, and easy access through their U.S. regulated broker-dealers. The innovative OTCQX platform offers companies and their shareholder a level of marketplace services formerly available only on a U.S. exchange.
